Algemene voorwaarden CostWork

1. Wie we zijn

CostWork wordt aangeboden door CommerceWork, Kleine Turfstraat 16, 7876 HS Valthermond, Nederland, KvK 98084151 ("wij"). Door CostWork te installeren ga je akkoord met deze voorwaarden.

2. Wat CostWork doet

CostWork is een Shopify-app die prijslijsten en voorraadbestanden van je leveranciers inleest en de kostprijs en voorraad van je producten in je Shopify-winkel bijwerkt, je marge berekent en je waarschuwt als die onder een door jou ingestelde grens komt. Welke functies beschikbaar zijn, hangt af van je abonnement, zoals beschreven in de App Store-listing.

3. Abonnement, proefperiode en betaling

  • Abonnementen lopen per maand en worden gefactureerd via Shopify Billing. Prijzen zijn exclusief btw.
  • Nieuwe installaties krijgen 14 dagen gratis proef. Daarna start het gekozen abonnement automatisch, tenzij je de app verwijdert.
  • Je kunt op elk moment van abonnement wisselen of de app verwijderen. Bij verwijdering stopt de facturatie per direct via Shopify; reeds betaalde periodes worden niet terugbetaald, behalve waar de wet dat vereist.
  • We kunnen prijzen wijzigen. Voor bestaande abonnementen kondigen we dat minimaal 30 dagen vooraf aan.

4. Jouw verantwoordelijkheden

  • Je bent verantwoordelijk voor de juistheid van de bestanden en instellingen die je in CostWork gebruikt, waaronder kolomkoppelingen, margegrenzen en leveranciersgegevens.
  • CostWork past kostprijzen en voorraad in je winkel aan op basis van jouw bestanden en instellingen. Controleer de resultaten, zeker na de eerste synchronisatie. Gebruik de controlefuncties in de app voordat je wijzigingen definitief maakt.
  • Je zorgt dat je het recht hebt om de leveranciersbestanden die je gebruikt in CostWork te verwerken.
  • Je gebruikt CostWork niet voor onrechtmatige doeleinden en probeert de app niet te omzeilen, te kopiëren of te belasten op een manier die de dienst verstoort.

5. Beschikbaarheid en ondersteuning

We doen ons best om CostWork continu beschikbaar te houden, maar garanderen geen ononderbroken werking. Onderhoud kondigen we waar mogelijk vooraf aan. Ondersteuning verloopt via info@commercework.nl, in het Nederlands, Engels en Duits, op werkdagen. We streven naar een reactie binnen één werkdag.

6. Aansprakelijkheid

  • CostWork is een hulpmiddel. De uiteindelijke prijzen, voorraden en verkoopbeslissingen in je winkel blijven jouw verantwoordelijkheid.
  • Wij zijn niet aansprakelijk voor indirecte schade, gederfde winst, gemiste verkopen of schade door onjuiste of verouderde leveranciersbestanden, storingen bij Shopify of bij je leveranciers, of door instellingen die je zelf hebt gekozen.
  • Onze totale aansprakelijkheid per gebeurtenis is beperkt tot het bedrag dat je in de 12 maanden voorafgaand aan de gebeurtenis voor CostWork hebt betaald.
  • Deze beperkingen gelden niet bij opzet of bewuste roekeloosheid van onze kant.

7. Gegevens en privacy

Hoe we met je gegevens omgaan, staat in de privacyverklaring op commercework.nl/pages/costwork-privacy. Die maakt deel uit van deze voorwaarden. Voor zover we persoonsgegevens namens jou verwerken, geldt de verwerkersovereenkomst in bijlage 1.

8. Intellectueel eigendom

CostWork, de code, het ontwerp en de naam blijven eigendom van CommerceWork. Je krijgt een niet-exclusief, niet-overdraagbaar gebruiksrecht voor de duur van je abonnement. Jouw productgegevens en leveranciersbestanden blijven van jou.

9. Beëindiging

Je beëindigt de overeenkomst door de app uit je winkel te verwijderen. Wij kunnen de overeenkomst beëindigen bij misbruik, wanbetaling of als we CostWork staken; in dat laatste geval kondigen we dat minimaal 60 dagen vooraf aan. Na beëindiging wissen we je gegevens zoals beschreven in de privacyverklaring.

10. Wijzigingen en toepasselijk recht

We kunnen deze voorwaarden wijzigen; bij belangrijke wijzigingen informeren we je minimaal 30 dagen vooraf. Op deze voorwaarden is Nederlands recht van toepassing. Geschillen leggen we voor aan de bevoegde rechter in Nederland, tenzij de wet anders bepaalt.

Bijlage 1: verwerkersovereenkomst (kort)

  1. Jij bent verwerkingsverantwoordelijke voor de gegevens in je winkel; CommerceWork is verwerker voor zover CostWork persoonsgegevens verwerkt (in de praktijk: het e-mailadres en de naam van de winkeleigenaar en eventuele contactgegevens van leveranciers).
  2. We verwerken persoonsgegevens alleen om CostWork te laten werken en volgens jouw instructies.
  3. We nemen passende technische en organisatorische beveiligingsmaatregelen (zie privacyverklaring, hoofdstuk 6).
  4. We schakelen alleen de subverwerkers in die in de privacyverklaring staan en informeren je bij wijzigingen.
  5. We melden een datalek dat jouw gegevens raakt zonder onnodige vertraging, uiterlijk binnen 48 uur na ontdekking.
  6. We helpen je bij verzoeken van betrokkenen en bij het aantonen van naleving van de AVG.
  7. Na beëindiging wissen we de persoonsgegevens binnen 30 dagen.

1. Who we are

CostWork is provided by CommerceWork, Kleine Turfstraat 16, 7876 HS Valthermond, the Netherlands, Chamber of Commerce no. 98084151 ("we"). By installing CostWork you agree to these terms.

2. What CostWork does

CostWork is a Shopify app that imports your suppliers' price lists and stock files, updates the cost price and inventory of your products in your Shopify store, calculates your margin and alerts you when it falls below a threshold you set. Available features depend on your plan, as described in the App Store listing.

3. Plans, trial and payment

  • Plans are monthly and billed through Shopify Billing. Prices exclude VAT.
  • New installs get a 14-day free trial. The selected plan then starts automatically unless you uninstall the app.
  • You can change plans or uninstall at any time. On uninstall, billing stops immediately through Shopify; periods already paid are not refunded except where required by law.
  • We may change prices. For existing subscriptions we give at least 30 days' notice.

4. Your responsibilities

  • You are responsible for the accuracy of the files and settings you use in CostWork, including column mappings, margin thresholds and supplier details.
  • CostWork changes cost prices and inventory in your store based on your files and settings. Check the results, especially after the first sync, and use the app's review features before applying changes.
  • You confirm you are entitled to process the supplier files you use in CostWork.
  • You will not use CostWork for unlawful purposes or attempt to circumvent, copy or overload the service.

5. Availability and support

We aim to keep CostWork available at all times but do not guarantee uninterrupted operation. Maintenance is announced in advance where possible. Support is available via info@commercework.nl in Dutch, English and German on business days; we aim to respond within one business day.

6. Liability

  • CostWork is a tool. Final prices, inventory and sales decisions in your store remain your responsibility.
  • We are not liable for indirect damage, lost profit, lost sales or damage caused by incorrect or outdated supplier files, outages at Shopify or your suppliers, or settings you chose yourself.
  • Our total liability per event is limited to the amount you paid for CostWork in the 12 months before the event.
  • These limitations do not apply in case of intent or wilful recklessness on our part.

7. Data and privacy

How we handle your data is described in the privacy policy at commercework.nl/pages/costwork-privacy, which forms part of these terms. Where we process personal data on your behalf, the data processing agreement in Annex 1 applies.

8. Intellectual property

CostWork, its code, design and name remain the property of CommerceWork. You receive a non-exclusive, non-transferable right to use the app for the duration of your subscription. Your product data and supplier files remain yours.

9. Termination

You end the agreement by uninstalling the app. We may end it in case of abuse, non-payment or if we discontinue CostWork; in the latter case we give at least 60 days' notice. After termination we delete your data as described in the privacy policy.

10. Changes and governing law

We may change these terms; for significant changes we give at least 30 days' notice. Dutch law applies. Disputes are submitted to the competent court in the Netherlands, unless the law provides otherwise.

Annex 1: Data processing agreement (short form)

  1. You are the controller of the data in your store; CommerceWork is the processor to the extent CostWork processes personal data (in practice: the store owner's name and e-mail address and any supplier contact details).
  2. We process personal data only to operate CostWork and in accordance with your instructions.
  3. We apply appropriate technical and organisational security measures (see privacy policy, section 6).
  4. We only use the sub-processors listed in the privacy policy and inform you of changes.
  5. We report a data breach affecting your data without undue delay and no later than 48 hours after discovery.
  6. We assist you with data subject requests and with demonstrating GDPR compliance.
  7. After termination we delete personal data within 30 days.
